• These are the general terms and conditions of ZCS B.V., a limited liability company incorporated according to Dutch law, registered in Amstelveen under number 62744461, the Netherlands, hereinafter referred to as "ZCS".
  • ZCS operates via the tradename FeeQuotes and the website www.feequotes.com and acts as a platform between clients looking to retain certain corporate services when expanding abroad and service providers offering such services to companies expanding abroad.
  • Any User can use FQ subject to the terms and conditions as set out in this document

Whereas:

"Account" means the account you open when you register on the Website.
" Service Requestor " means a User that is looking for a Service Providers or range thereof when expanding abroad.
" Complaints Procedure " means the process to be followed by Service Requestors and Service Providers in case they wish to report a violation of the FQ Code of Conduct.
" FQ " FeeQuotes.com, registered tradename of ZCS B.V. (chamber of commerce Amsterdam nr. 62744461)
" Inactive Account " means a User Account that has not been logged into for a continuous 12-month period.
" Intellectual Property Rights " means any and all intellectual property rights with respect to innovations that are published at FeeQuotes.com for the purpose of finding a Service Provider, including:

(a) patents, copyright, registered designs, registered and unregistered trademarks, and any right to have confidential information kept confidential; and

(b) any application or right to apply for registration of any of the rights referred to in paragraph (a), whether or not such rights are registered or capable of being registered.

" Project " or " Listing " means a FeeQuote request from a Service Requestor to a Service Provider.
" Service Provider" means a User that uses FeeQuotes.com in order to find clients in order to provide its corporate services.
" Professional Services " means all services that are offered via FeeQuotes.com.
" User "," you " or " your " means any individual who visits or uses the website
" User Agreement " means these Terms and Conditions and all related policies:

  3. Fees and Charges
  4. KYC and ID verification
  5. Copyright Infringement Policy
"Website" means feequotes.com, the website operated by FQ and any related FQ services, tools or applications.

 

  1. Overview

By accessing and/or using the Website, Users commit themselves to these Terms and Conditions (hereinafter referred to as “User Agreement”). We may amend the User Agreement and interlinked policies from time to time by posting amended terms on the Website.

The Website is an online platform where Service Requestors buy, and Service Providers sell Professional Services.

  1. User Agreement

All Users pledge their ongoing commitment and agreement to the User Agreement and all interlinked policies.

  1. Discretionary authority FeeQuotes.com

We may, at our absolute discretion, refuse to register a person or corporate entity as a User or discontinue collaboration with a User. In practice the latter will only occur in case of Inactivity of the account, reported violations of the FQ Code of Conduct or problems with the KYC verification. Details are shared to the extent permitted by law and to the extent it does not violate privacy and confidentiality obligations towards other Users.

  1. Intellectual Property Rights infringement

It is our policy to respond to clear notices of alleged intellectual property rights infringement. Our Copyright Infringement Policy is designed to make submitting notices of alleged infringement to us as straightforward as possible while reducing the number of notices that we receive that are fraudulent or difficult to understand or verify. If you believe that your Intellectual Property Rights have been violated, please notify us via our Website and we will investigate.

  1. Fees and Services

We charge the fees as reflected on our Website and in the manner as detailed in our schedule of Fees and Charges.

  1. Promotion

We use any information that you register at FQ in the manner as described:

Service Requestor information:

  1. For as long as Service Requestor has not yet selected a Service Provider:

    2. Information is published on no name’s basis (cannot be linked to your business). This Information is accessible to verified Service Providers on the Website and may also by published at other social media (like Linkedin.com, Twitter).

  2. Once a Service Provider purchased the right to send you a FeeQuote:

    3. Respective Service Provider gets all contact information and uploaded documents on the Request. The Service Provider can only use this information in order to prepare a FeeQuote and in order to share this with its prospective client (Service Requestor).

  3. Once Service Requestor has selected a Service Provider:

    4. All Service Providers that purchased the right to send a FeeQuote keep project and contact details with respect to the Request. Other parties may continue to see the project on no-names basis.

  4. Once you close or suspend the project without having selected a Service Provider

    5. All Service Providers that purchased the right to send a FeeQuote keep project and contact details with respect to the Request. Other parties may continue to see the project on no-names basis.

Service Provider information

Service Requestors with active user status can access information (uploaded brochures, contact details) of all Service Providers that have ever purchased the right to issue a FeeQuote.

  1. Content

With respect to any uploaded or registered content, Users acknowledge and agree that:

  1. We only act as a portal for online distribution and (selective) publication of information as registered or uploaded by our Users (the “Content”);
  2. We make no warranty that the Content is complete and correct;
  3. We have the right (but not the obligation) to take appropriate actions if we get information that Content appears incomplete and incorrect;
  4. We have no responsibility or liability in case any Content gets (accidentally) lost or deleted;
  5. Content is subject to our approval. We may reject, approve or modify Content at our sole discretion.

Users represent and warrant that your content is in line with the requirements of the FQ Code of Conduct:

Users acknowledge and agree with the FQ Privacy Policy that FQ treats “Personal Data” as defined in article 4 of the General Data Protection Regulation https://gdpr-info.eu/art-4-gdpr in a manner as detailed in the FQ Privacy Policy.

Users acknowledge and accept that information provided by FQ should be treated as guidance and never as (legal or tax) advice. FQ recommends Service Requestors to retain professional advice before deciding to expand abroad.

Users accept that FQ is a portal and has no responsibility for incorrectly information provided by other Users. When such incorrect information violates the FQ Code of Conduct, Users may post a complaint so FQ may undertake appropriate actions.

FQ does not endorse the content, products, services, practices, policies or performance of third party website links that are posted on the Website. Use of such services and websites is at the risk of the User.

  1. Advertising

Service Requestors agree to use the Website only for providing information on their Company, expansion plans and contents of their Request. Service Providers agree to use the Website only for advertising their business with a sole purpose to purchase matching Requests with an aim to onboard new clients.

Users agree not advertise other external websites, products or services without direct link to the Requests as posted on the Website.

We may display sponsor advertisements and promotions on the Website. Users acknowledge and accept that FQ shall not be responsible for any loss or damage incurred as a result of the presence of such advertisements/ promotions in the Website or your subsequent dealings with these Advertisers.

  1. Communication with other Users

Users accept to direct all communicate with Users via the “My Messages” section on the Website. As soon as a Service Requestors has selected a Service Provider, these particular Users will have access to each others contact details and may continue communication via other means as well.

  1. Right to review

Users accept that when opening an account or filing a Request, FQ reviews, moderates and downloads all information as registered on the Website. Goal of this is to avoid fraud and secure risk management. Furthermore we use this information for the promotion of the functionality of the Website for the benefit of Users.

  1. Identity / Know Your Customer

Users accept the FQ “Know Your Customer And Identity Verification Policy” and will send upon request of FQ (or third parties appointed by FQ) any (personal) information when launching a Request and/or opening an account.

  1. User Services

FeeQuotes.com promotes collaboration between Users. Users are solely responsible for the outcome of their collaboration.

Users accept that they need to be personally aware of any applicable domestic laws (including common law), international laws, statutes, ordinances and regulations that apply to Projects published on the Website.

Users accept that FQ is not a party in agreements between Service Providers and Service Requestors and Users will never hold FQ liable for bad service level and/or absent payments for such services.

  1. Inactive Accounts

Accounts of Users that have not logged on for a continuous period of 12 months maybe closed by FQ. Credits owned by Service Providers maybe cancelled after 12 months of inactivity. Reference is made to our Fees and Charges.

  1. Right to refuse of close account

We may Decline, Deactivate, Suspend or limit access to your Account without reason. Typical reasons of closing accounts include:

  1. if we consider that your registration does not have commercial viability to the FQ platform;
  2. if we determine that you have breached, or are acting in breach of, this User Agreement and particularly the Code of Conduct;
  3. you do not respond timely to account verification requests;
  4. you are the subject of a United Nations, EU, USA or other applicable sanctions regime;

Users accept that closure of their Account due to a breach by User of the User Agreement may result in the obligation for such User to reimburse all reasonable expenses (external legal fees including any and all our employee time) related to investigating such breach.

vUsers accept that in case FQ closes a User Account, respective User will have no (financial) claim towards FQ.

  1. Right to refuse launching Project

Service Requestors accept that FQ may moderate a Project in order to stimulate the chances of success of the Project. FQ may refuse to launch a Project without reason.

Typical reasons of refusing to launch a Project:

  1. if we consider your Request has no commercial viability towards Service Providers;
  2. if we consider the Request does not match the principals of FQ;
  3. if we do not see an opportunity to match the Request to a Service Provider;
  1. Complaints Procedure

Users acknowledge and agree that disputes between Service Requestors and Service Providers should be solved without involving FQ.

If a User notes a breach by another User of the FQ Code of Conduct, such User is welcome to raise a formal complaint at the Website so FQ may undertake disciplinary actions.

Users acknowledge and accept that FQ is not a judicial or alternative dispute resolution institution and that FQ will make determinations only as an ordinary reasonable person.

  1. Disputes with FQ

Users may raise disputes by email: team@feequotes.com so FQ can pursue a mutually acceptable solution. All claims filed or brought contrary to the User Agreement shall be considered improperly filed. Should such claim be filed, FQ may recover legal fees and costs (including in-house lawyers and paralegals), provided that FQ has notified you in writing of the improperly filed claim.

In case legal proceeding by or against you is commenced under any provision of a bankruptcy or insolvency law, FQ will be entitled to recover all reasonable costs or expenses incurred in connection with the enforcement of this Agreement.

FQs failure to act with respect to a breach of a User does not create a precedent towards other Users and/or subsequent or similar breaches.

  1. Closing Your Account

Users wishing to close their Account need to send us an email at: team@feequotes.com

  1. Privacy

By opening an account at FQ, Users accept and commit themselves to the content of the FQ Privacy Policy.

  1. Indemnity

Users indemnify FQ (and its officers, directors, agents, subsidiaries, joint venture partners and employees) against any Project claims (including legal fees and costs) relating to Projects posted at the Website in case such User has infringed any laws or the rights towards third parties in the course of using the Website.

  1. Security provision

Users agree to immediately notify FQ ( team@feequotes.com ) in the event of unauthorized access to a User Account, Request or other User related security breaches to the Website.

Users acknowledge the use of industry standard digital protection (amongst others use of industry standard virus scanner and firewall). FQ accepts no responsibility for loss or damages arising from unauthorized access of User accounts/ Requests.

  1. No Insurance or warranty

We do not offer any form of insurance, or other protection to Service Requestors or Service Providers.

  1. No warranty as to each User's purported identity

FQ cannot and does not confirm each User's purported identity and the registration of Users on the Website is by no means an introduction, endorsement or recommendation by us.

  1. No Warranty as to content on the website

The Website is a dynamic time-sensitive website. As such, information on the Website will change frequently. Albeit FQ Moderates and reviews Accounts and Requests, it is possible that some information could be considered offensive, harmful, inaccurate or misleading.

All information on Users and Requests are provided on an 'as is', 'with all faults' and 'as available' basis without warranties of any kind either express or implied.

  1. Limitation of liability

In no event shall we, our related entities, our affiliates or staff be liable for:

  1. any indirect, special, incidental or consequential damages that maybe incurred by you;
  2. any loss of income, business or profits (whether direct or indirect) that may be incurred by you;
  3. any claim, damage, or loss which may be incurred by you as a result of any of transactions involving the Website.

Notwithstanding the provisions, nothing in this User Agreement is intended to limit or exclude any liability on the part of us in case such liability results from willful misconduct or gross negligence by FQ or in case such limitations are prohibited by applicable laws.

  1. Bar to action

We may plead this User Agreement in bar to any claim, action, proceeding or suit brought by you, against us for any matter arising out of any transaction or otherwise in respect of this User Agreement.

  1. No Class Actions

Users accept that claims (if any) will only be made on an individual basis only and not as a plaintiff or class member in any purported class or representative action or proceeding.

  1. Notices

Legal notices from FQ are sent to Users using the email address as was inserted to FQ during the registration process. Legal notices sent to FQ should be sent to team@feequotes.com . Notice will be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid or that the email has not been delivered. Alternatively, we may give you legal notice by mail to the address provided by you during the registration process. In such case, notice is deemed given three days after the date of mailing.

  1. Law and forum for legal disputes

Any disputes that are not solved by arbitration will be brought before the competent court in the Netherlands.

  1. Severability

The provisions of this User Agreement are severable, and if any provision of this User Agreement is held to be invalid or unenforceable, such provision may be removed and the remaining provisions will continue to be enforced. This Agreement may be assigned by us to an associated entity at any time, or to a third party without your consent in the event of a sale or transfer of some or all our assets. In the event of any sale or transfer you will remain bound by this User Agreement.

  1. Interpretation

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

  1. No Waiver

The failure of FQ to act with respect to an anticipated or actual breach by a User does not waive the right of FQ to act with respect to subsequent or similar breaches.

  1. General

FeeQuotes.com is a registered trade name of ZCS B.V., which is located at Prof. J.H. Bavincklaan 2, 1183 AT Amstelveen, the Netherlands.
